New Break Resources Ltd. Description of the Business

New Break’s Moray property covers 10,326 hectares, located in the southern Abitibi greenstone belt, approximately 49 km southeast of Timmins, Ontario and 32 km northwest of the Young-Davidson gold mine operated by Alamos Gold Inc.  The initial property package of 1,856 hectares was purchased in 2020 and expanded through staking and through two additional property acquisitions in 2023.  Exploration work from 2021 to 2024 has included a drone mag survey, VLF surveys, a till sampling survey, multiple stripping and trenching programs, prospecting, channel sampling, geological mapping and most recently, the completion of a 55.7 line-km IP survey covering the entire interpreted extent of a large gold mineralized syenite intrusive.  Gold mineralization at the Young-Davidson mine is also contained in a syenite intrusive.  New Break has immediate plans to conduct a maiden drilling program at Moray, principally focused on the syenite intrusive.  Effective April 30, 2025, New Break sold its Sundog gold project located in Kivalliq, Nunavut to Guardian Exploration Inc. (“Guardian”).  The Sundog gold project covers approximately 9,415 hectares within parcel AR-35 on Inuit Owned Land.  New Break has retained a 20% carried interest in the Sundog project through an option to repurchase 20% of the project at any time for $1.  All obligations under the mineral exploration agreement with the Inuit are the responsibility of Guardian, as is the obligation to bear 100% of the cost of exploration expenditures.  New Break would only be required to fund its 20% of mine construction, if and when a development decision is made.  New Break also owns 5,000,000 common shares of Guardian (TSX-V: GX) having a value of approximately $400,000.
